Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the EnterPay platform and services, including but not limited to our website, hardware terminals, mobile applications, APIs, and software dashboard (collectively, the “Platform”). By accessing or using any part of the Platform, you agree to be legally bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
- “EnterPay” refers to the non-custodial software platform operated by EnterPayments OÜ, a company incorporated in Estonia.
- “Merchant” refers to any individual or entity that uses the Platform to accept cryptocurrency payments.
- “Customer” refers to any individual or entity making payments to a Merchant using the Platform.
- “Third-Party Partner(s)” refers to licensed financial service providers with whom EnterPay integrates to process payments, perform KYB/KYC, and facilitate fiat settlements.
- “Terminal” refers to the hardware or software interface provided to Merchants for accepting crypto payments.
2. Scope of Services
EnterPay provides a software infrastructure layer that:
- Allows Merchants to accept over 300 cryptocurrencies from Customers.
- Interfaces with licensed third-party payment processors who are responsible for regulatory compliance, KYC/AML, and crypto-to-fiat off-ramping.
- Offers Merchants a simple, legally compliant way to receive payments in fiat currency without directly interacting with cryptocurrency themselves.
- Does not custody, convert, or directly process any funds.
3. Merchant Onboarding & KYB
- All Merchants must undergo Know Your Business (KYB) verification.
- The KYB process includes verification of legal entity information, UBO (ultimate beneficial owner) identification, sanctions and PEP checks, and proof of business activity.
- EnterPay reserves the right to suspend or terminate access if a Merchant fails to meet KYB requirements or provides false/incomplete data.
4. Customer Payments & KYC
- Customers can pay using supported cryptocurrencies.
- KYC (Know Your Customer) checks are performed by third-party partners only when regulatory thresholds are met (e.g., single or cumulative transactions over €1,000 or identified high-risk activity).
- Merchants are encouraged to monitor unusual or large transactions and report them where applicable.
5. Payment Flow & Custody
- Each transaction generates a unique wallet address under the custody of our licensed third-party provider.
- The provider receives the crypto payment and settles the fiat equivalent directly to the Merchant’s designated bank account.
- EnterPay never takes custody of crypto or fiat funds.
- No automatic conversion to stablecoins occurs unless the Customer chooses a stablecoin (e.g., USDT, USDC) as payment method.
6. Terminals & Hardware
- Merchants may use a physical terminal or mobile version.
- Terminal usage is subject to the commercial agreement signed by the Merchant.
- Lost or damaged terminals are the responsibility of the Merchant.
7. Fees
- Fees are outlined in a separate Commercial Annex.
- Fees may include:
- One-time terminal hardware costs (if applicable)
- Monthly service subscription
- Transaction-based commissions (for Customers only)
- One-time terminal hardware costs (if applicable)
- All fees are subject to change with 30 days written notice.
8. Supported Jurisdictions
- EnterPay services are available only in countries where crypto payments are legally permitted.
- A current list of supported and restricted countries is maintained [on our website].
- Merchants must not use the Platform in restricted jurisdictions.
9. Regulatory Compliance
- All financial services are handled through regulated third-party partners.
- EnterPay performs due diligence on its partners to ensure full compliance with AMLD, MiCA, and GDPR requirements.
- EnterPay may request documentation from Merchants or Customers at any time to fulfill compliance obligations.
10. Prohibited Use
You may not use the Platform for:
- Money laundering or terrorist financing
- Fraudulent or illegal activity
- Selling or promoting illegal goods/services
- Circumventing sanctions or operating in banned jurisdictions
Violations may result in immediate termination of service and reporting to relevant authorities.
11. Intellectual Property
All materials provided by EnterPay, including software, trademarks, documentation, logos, and content, remain the intellectual property of EnterPay or its licensors.
12. Limitation of Liability
To the extent permitted by law, EnterPay disclaims all warranties and will not be liable for:
- Loss of data or profits
- Downtime or service interruptions
- Issues caused by third-party providers
- Indirect, incidental, or consequential damages
13. Indemnification
Merchants and users agree to indemnify and hold harmless EnterPay from any claims, losses, or liabilities arising from:
- Use or misuse of the Platform
- Violation of laws or regulations
- Breach of these Terms
14. Termination
- Either party may terminate the agreement with 30 days written notice, unless stated otherwise in the commercial agreement.
- EnterPay may suspend or revoke access in case of fraud, regulatory breaches, or policy violations.
15. Amendments
EnterPay may update these Terms at any time. Changes will be posted to our website and take effect immediately. Continued use of the Platform indicates acceptance.
16. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Republic of Estonia.
- Any dispute arising out of or in connection with these Terms shall be resolved in the competent courts of Tallinn, Estonia.
